Terms of Service Overview

General Terms & Conditions

These terms govern your working relationship with Encrypted Studio. By commissioning work or using our services, you agree to these terms.

Services

1. Encrypted Studio agrees to provide the services described in your approved proposal or scope of work. These may include web design, custom development, digital systems, and website maintenance.
2. We work in agreed sprints and milestones. Project timelines depend on timely feedback, content, and asset delivery from the client.

Payment

1. The client agrees to pay the fees set out in the agreed proposal or care plan schedule.
2. Invoices are due upon receipt unless agreed otherwise in writing. Unpaid balances past 30 days may incur a late fee of 1.5% per month or the legal maximum, whichever is lower.
3. We reserve the right to pause work if scheduled milestone payments are overdue.

Intellectual Property

1. All creative assets, design files, and custom codebase created for the project remain the property of Encrypted Studio until final payment has been received in full.
2. Upon receipt of final payment, full ownership of custom deliverables transfers to the client. Encrypted Studio retains the right to display the completed work in our portfolio and case studies.

Confidentiality

1. Both parties agree to protect proprietary information, business data, and project assets shared during the engagement, and will not disclose them to third parties without prior written consent.
2. This confidentiality obligation continues after project completion or termination.

Liability

1. Encrypted Studio is not liable for indirect, incidental, or consequential damages resulting from website downtime, third-party software updates, or client hosting issues.
2. Our total liability for direct damages relating to any project is capped at the total amount paid by the client for that specific engagement.

Termination

1. Either party may terminate the agreement upon written notice.
2. If an engagement is terminated before completion, the client pays for all work completed and milestones approved up to the date of notice.

Governing Law

1. These terms are governed by the laws of the Federal Republic of Nigeria.
2. Any disputes arising from these terms will be resolved through good-faith negotiation, and if necessary, arbitration in Lagos, Nigeria.
